Description :Overview The Taiwan Chief Operating Officer, ("TW COO") manages Deutsche Bank Group’s (“DB Group”) matrix organisation operations in the location, as delegated by the Taiwan Chief Executive Officer (“TW CEO”), with a focus on ensuring the business divisions and infrastructure functions in the location maintain an effective control environment. The TW COO supports the TW CEO in ensuring that the (i) Corporate Governance policies and governance standards are adhered to, (ii) local input in global/ regional processes is provided, and (iii) cross-divisional local business, infrastructure and strategic plans are delivered. The TW COO works with regional/global initiative sponsors to ensure initiatives meet local requirements; works with business/infrastructure COOs to improve business and infrastructure operations across the location and escalates matters (if the operational, system or control-related issues cannot be resolved adequately locally) via the TW CEO and Regional CEO, ultimately to the Management Board of Deutsche Bank AG (“DB AG”). This includes in particular the following tasks:Governance:Establishes and maintains a documented proper governance framework on TW level to enable local management (CEOs and COOs) to balance the different interests of DB Group’s matrix organisation (business divisions/ infrastructure functions (“Units”), legal entities and branches, and countries or specific regions under the administration of a given country).Exercises his/ her veto on matters that run counter local interests, including internal/external rules and regulations, with focus on the coordination of local infrastructure heads and local COOs of Units in order to identify and resolve governance, control and operational challenges.Challenges Local Entities (legal entities and branches) and Units locally to ensure that an effective control and governance environment is in place in order to adhere with internal/external rules and regulations.Serves as a local escalation point for the COOs of Units and infrastructure heads escalating, via the Regional CEO, ultimately to the Management Board of DB AG.Ensures the consistent and compliant application of governance requirements in Taiwan, manages any periodic assessments in the location and facilitates similar assessments by Group Audit or other external evaluators if any.Provides leadership and takes ultimate decisions during a crisis as Crisis Manager in line with Crisis Management Standards.Is involved in major outsourcing decisions with the right to suspend any actions or change the terms thereof.Interacts with main local stakeholders (especially regulators), supporting the TW CEO and is generally the most senior interface to workers’ councils (if applicable), associations and unions in the location.Works with Local Entities and Units to define MI to enable Regional CEO/COO and local management to challenge DB Group's operations in TW effectively (at minimum as laid out in Country Management Involvement Model), escalates if required MI is not made available.Strategy and Client Servicing:Promotes DB Group’s brand in Taiwan.Ensures proper sign-off of new products (via NPA process), new transaction (via NTA process) and the establishment and liquidation of Legal Entities (via LEAP process) for matters concerning TW nexus as delegated by the TW CEO.Challenges the implementation of unit-level/global strategies and initiatives as well as ensuring consistency with internal and external requirements guarding adherence to (local) laws and regulations, as delegated by the TW CEO.Supports local Corporate Social Responsibility (CSR) activities in coordination with regional and/or central CSR.People and Performance Management:Is involved in DB Group’s Appointment & Release process for Local Management positions.Involved in hiring and release decisions for local heads of infrastructure line functions and local COOs of Units, where applicable and in line with regulatory requirements.Provides input to the TW CEO for the total performance process for local Heads of infrastructure line functions and local COOs of Units, where applicable and in line with regulatory requirements.General Responsibilities:Ensures that effective and adequate control mechanisms are in place towards the identification, assessment and management of risks.Represents TW towards internal/ external stakeholders; maintains and fosters internal and external key (business) relationships.Ensures regular involvement and information flow on the resolution of significant internal and external regulatory audit findings within TW.Drives collaboration and trust-based relationships across Units within TW.Supports and contributes to divisional, cross-divisional and global initiatives.Brings diverse teams together to collaborate on topics to achieve optimal ideas and recommendations.Creates an inclusive, open and speak up culture where team members are encouraged to express views and raise concerns.Responsibilities in the MatrixEnsures proper information flow to all dimensions of the matrix (Unit, location and entity), notifies in a timely manner the appropriate representative(s) of these dimensions on (intended) actions or decisions which may have a material impact on their operations.
